The Service

HBX provides a control plane that governs access between authorized actors, human or autonomous, and the systems they connect to. HBX controls who connects, from where, and under what conditions. We do not control or take responsibility for the business logic, device behavior, or data processing of your systems and agents.

Eligibility and Accounts

The Platform is intended for business use. You are responsible for the accuracy of your account information, for safeguarding credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Commercial Terms

Use of the Platform beyond any free or evaluation tier is governed by a separate order form or master services agreement (an "Order"). Where an Order conflicts with these Terms, the Order controls for the subject matter it covers.

Acceptable Use

You agree not to:

• circumvent or probe the security or authentication of the Platform or any system you are not authorized to access;
• interfere with or disrupt the integrity or performance of the Platform;
• use the Platform to gain unauthorized access to any system or data;
• reverse engineer the Platform except to the extent permitted by law;
• use the Platform in violation of applicable law or the rights of others.

Customer Responsibilities

You are responsible for the systems, devices, and agents you connect through the Platform, for obtaining all necessary rights and consents, and for your use of the access we make available. HBX governs access; it does not assume control of your underlying systems.

Intellectual Property

HBX retains all rights, title, and interest in the Platform, software, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Platform during the term, subject to these Terms. You retain all rights to your own systems and data.

Confidentiality

Each party may receive confidential information of the other. The receiving party will protect it with reasonable care and use it only as needed to exercise its rights and meet its obligations under these Terms.

Disclaimers

The website and, except as expressly stated in an Order, the Platform are provided "as is" and "as available". To the maximum extent permitted by law, HBX disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, HBX will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. HBX's total liability arising out of or relating to these Terms will not exceed the amounts paid by you to HBX in the twelve months preceding the event giving rise to the claim, or, where no fees were paid, one hundred US dollars.

Indemnification

You will indemnify and hold HBX harmless from claims arising out of your use of the Platform in breach of these Terms or applicable law, or out of the systems and content you connect through the Platform.

Term and Termination

These Terms apply while you access the website or use the Platform. We may suspend or terminate access if you breach these Terms or to protect the integrity or security of the Platform. Provisions that by their nature should survive termination will survive.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The courts located in Delaware will have exclusive jurisdiction, except where mandatory local law provides otherwise.

Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the date above. Continued use after changes take effect constitutes acceptance.
